Terms of Service
1. Acceptance
These Terms of Service (“Terms”) are a legal agreement between you and Meme Styles Consulting (“Meme Styles Consulting,” “we,” “us”), which operates the HBCU AICON program and websites (the “Service”). By accessing the Service, submitting a form, registering for an event, or otherwise interacting with us, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
You represent that you are at least the age of majority in your jurisdiction and have the authority to enter into these Terms personally and, where applicable, on behalf of any organization you list.
3. Submissions and Information You Provide
Forms on the Service (including advisory board applications, call for papers, partnership inquiries, and registrations) collect information you choose to provide. You represent that all information you submit is accurate, that you are authorized to submit it, and that its submission and our use of it as described in our Privacy Policy and Media Release does not violate the rights of any third party. We may accept, reject, edit for length and clarity, or remove any submission at our sole discretion.
4. No Guarantee of Acceptance or Outcome
Submitting an application, proposal, inquiry, or registration does not guarantee acceptance, selection, publication, speaking slot, sponsorship, partnership, employment, or any other outcome. All such decisions are made by Meme Styles Consulting in its sole discretion.
5. Intellectual Property
The Service and its content (excluding user submissions and third-party marks) are owned by Meme Styles Consulting or its licensors and are protected by intellectual-property laws. You retain ownership of content you submit. You grant Meme Styles Consulting a non-exclusive, worldwide, royalty-free, sublicensable license to host, reproduce, display, distribute, and adapt your submission solely to operate, promote, and document the program described on the relevant form.
6. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy. Violations may result in removal of content, suspension or termination of access, and where appropriate, referral to law enforcement.
7. AI Output
Portions of the Service may use artificial intelligence to generate or assist content. AI output may be inaccurate, incomplete, or out of date. See our AI Disclaimer. You are solely responsible for independently verifying any AI-generated output before relying on it.
8. Disclaimers
The Service, including all events, materials, communications, and AI output, is provided “as is” and “as available,” without warranty of any kind, whether express, implied, statutory, or otherwise. Meme Styles Consulting expressly disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment. Meme Styles Consulting does not warrant that the Service will be uninterrupted, secure, or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, in no event will Meme Styles Consulting, its affiliates, officers, directors, employees, contractors, agents, sponsors, or partners be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or relating to your use of the Service or any event, even if advised of the possibility of such damages. Meme Styles Consulting’s total aggregate liability for any and all claims arising out of or relating to the Service or any event will not exceed the greater of (a) the amount you paid to Meme Styles Consulting in the twelve (12) months preceding the event giving rise to the claim or (b) one hundred U.S. dollars (US$100).
10. Indemnification
You will indemnify, defend, and hold harmless Meme Styles Consulting and its affiliates, officers, directors, employees, contractors, agents, sponsors, and partners from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (i) your use of the Service, (ii) any content you submit, (iii) your violation of these Terms or any applicable law, or (iv) your infringement or misappropriation of any third-party right.
11. Assumption of Risk at Events
Attendance at in-person or virtual events is voluntary and at your own risk. You assume all risks of personal injury, illness (including communicable disease), property loss, and any other harm associated with attendance, travel, or participation, and you release Meme Styles Consulting from claims relating to the same to the maximum extent permitted by law.
12. Third-Party Services
The Service may link to or integrate with third-party websites and services (including payment processors, video platforms, and analytics providers). Meme Styles Consulting is not responsible for the content, policies, or practices of any third party.
13. Termination
We may suspend or terminate your access to the Service, or remove any content, at any time and for any reason, including violation of these Terms. Sections that by their nature should survive termination will survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law).
14. Governing Law and Venue
These Terms are governed by the laws of the State of Texas, USA, without regard to its conflict-of-laws rules. Subject to Section 15, the exclusive venue for any dispute is the state or federal courts located in State of Texas, United States of America, and you consent to personal jurisdiction in those courts.
15. Dispute Resolution; Class-Action Waiver
The parties will attempt in good faith to resolve any dispute through informal negotiation for thirty (30) days before initiating any proceeding. To the maximum extent permitted by law, you and Meme Styles Consulting agree that any dispute will be resolved on an individual basis and not as a class, collective, or representative action.
16. Changes
We may update these Terms from time to time. Material changes will be indicated by updating the “version” and date above. Your continued use of the Service after changes take effect constitutes acceptance.
